Terms of service

These terms are an agreement between ELEMENTS NEXUS (“Fatbox”, “we”, “us”) and the business that uses Fatbox (“you”). They apply to the console, Fatbox Player and the music we provide. If you sign an order form or agreement with us, it takes precedence over these terms where the two differ. By using Fatbox you confirm that you accept these terms and can act for your business.

1. The service

Fatbox provides background music for business premises: a licensed music catalogue, a console to manage your branches, libraries and schedules, and Fatbox Player, which plays your scheduled music on a Windows PC at each branch.

2. Accounts

  • You decide who in your business gets console access and what they can do. You're responsible for what happens under those accounts.
  • Keep passwords and activation codes confidential, and tell us promptly if you think an account or player has been misused.
  • Remove access for people who leave your business.

3. Plans and payment

  • Each branch needs an active plan. A plan sets how many songs the branch's library can hold and how long the plan runs.
  • Prices, payment terms and any trial are agreed with you before a plan starts. We confirm them in writing, and payment is made directly to us as invoiced.
  • When a plan ends and isn't renewed, the branch's player stops playing once its offline licence runs out.
  • Fees are exclusive of GST and other applicable taxes, which are added to invoices.

4. Your music licence

While a branch's plan is active, we grant you a non-exclusive, non-transferable right to play the songs in that branch's Fatbox library, through Fatbox Player, as background music at that branch's premises.

This right does not allow you to:

  • play Fatbox music at any other location, or broadcast or stream it outside the premises;
  • copy, record, download, extract or redistribute the music, or try to decrypt it;
  • use Fatbox music in adverts, videos, events with paid entry, or anything other than background music at the branch, unless we agree in writing.

Rights holders can withdraw songs. When that happens we remove them from every library, and you must not keep playing them. We'll keep your library as full as your plan allows from the rest of the catalogue.

Fatbox licenses the recordings in its catalogue for this use from its labels and distributors. Depending on your premises and activities, other licences required by law may be your responsibility; we'll tell you during onboarding what Fatbox covers for your venues.

5. Your own music

If you add your own music to the player, you confirm that you hold all the rights needed to play it at your premises. Fatbox only reads its details; we don't license, host or report on your own music on your behalf.

6. Fatbox Player

  • The player needs a Windows 10 or 11 PC with a TPM 2.0 chip and an internet connection. Each activated player is tied to the PC it was activated on.
  • The player stays licensed offline for a limited period (72 hours unless your plan says otherwise) and needs to reconnect to keep playing.
  • The player sends us its status and a report of each song played. These reports are part of how rights holders are paid, so you must not block or alter them.
  • Don't tamper with, reverse engineer or work around the player's protections, or run it on a PC other than the one it was activated on.
  • We may update the player automatically to fix problems, protect the music or add features.

7. Acceptable use

You must not use Fatbox unlawfully, interfere with its security or operation, access accounts or data that aren't yours, or let anyone outside your business use your access.

8. Availability and support

We work to keep Fatbox available and players keep music for the next day on the PC, so short internet or service outages don't silence your branch. We don't promise the service will be uninterrupted. We provide support by email and phone during business hours.

9. Your data

Data about your business, branches and staff remains yours. We use it to provide Fatbox and as described in our privacy policy. Play reports (which songs played, where and when) are shared with the rights holders concerned.

10. Suspension and termination

  • You can stop using Fatbox at the end of any plan period. Fees already paid aren't refundable unless we agree otherwise or the law requires it.
  • We may suspend a branch or account, with notice where practical, if payment is overdue, if these terms are breached, or to protect the music, our service or other customers.
  • Either of us may end the agreement if the other seriously breaches it and doesn't fix the breach within 15 days of notice.
  • When the agreement ends, your right to play Fatbox music ends and players stop once their offline licence runs out.

11. Liability

Fatbox is provided as described in these terms. To the extent the law allows, neither of us is liable to the other for indirect or consequential loss, or loss of profit or business. Our total liability to you in any 12 months is limited to the fees you paid us in that period. Nothing in these terms limits liability that can't be limited by law.

You'll compensate us for losses caused by your use of Fatbox music outside the licence in section 4, or by music you add yourself under section 5.

12. Changes to these terms

We may update these terms. We'll tell you at least 30 days before significant changes take effect. If you don't agree, you can stop using Fatbox at the end of your current plan period.

13. Law and disputes

These terms are governed by the laws of India. We'll first try to resolve any dispute by talking to each other; if that fails, the courts at MUMBAI have exclusive jurisdiction.

14. Contact
